Recent Dutch case law on the termination of agreements without cause
As part of transactions, parties often enter into term sheets and various types of ancillary agreements, such as consultancy or management agreements. Disputes concerning termination of such agreements arise regularly, in many cases because of the absence of clear termination provisions. This article discusses recent case law in the Netherlands on the termination of agreements that do not contain specific termination provisions. These cases show the relevance of paying attention to the standard rules under Dutch law when preparing and negotiating these types of agreements and being explicit on what is intended.
